Description
- Provide sound legal advice to clients on transactional and regulatory matters, ensuring adherence to corporate and securities laws.
- Draft, review, and interpret complex legal documents with precision and clarity while ensuring compliance with statutory requirements and transaction timelines.
- Manage capital market transactions, including IPOs, QIPs, Rights Issues, Buybacks and Debt/Bonds, by ensuring applicable regulatory compliance, conducting due diligence, and mitigating potential risks through detailed assessments.
- Assisting in preparing and reviewing securities filings and disclosure to ensure compliance with stock exchange and SEBI.
- Represent clients in negotiations to safeguard their interests and secure favorable terms in agreements.
- Collaborate effectively with team, merchant bankers, regulatory bodies and relevant stakeholders on legal, financial and regulatory issues and contribute to strategic discussions on high-stakes transactions.
- Establish and maintain a robust contract management system to track the lifecycle, milestones, and deadlines of agreements and related documents. Build and nurture strong client relationships by addressing client needs, providing practical legal solutions, and acting as a point of liaison with regulatory authorities.
- Stay updated on regulatory changes, industry developments, and emerging trends through legal research and analysis.
Requirements
- Bachelor's degree in Law (LLB) with 2-4 years of experience in transactional advisory, particularly in capital market transactions.
- In-depth knowledge of SEBI Regulations, ICDR, LODR, Buyback Regulations, stock exchange compliance requirements (NSE, BSE), disclosure obligations under SEBI and listing agreements and other applicable corporate and securities laws for listed entities.
- Exceptional written and verbal communication skills to draft, review and explain complex legal concepts effectively.
- Practical expertise in transactional and contractual terminology, along with familiarity with due diligence practices.
- Strong analytical and problem-solving skills, with a keen eye for detail and the ability to identify and mitigate risks.
- Proven ability to work collaboratively effectively within multidisciplinary teams and meet project deadlines under pressure.
- A proactive approach to learning and applying knowledge of emerging legal and regulatory trends in the capital market sector.
