Key Responsibilities

A. Board & Committee Management

  • Assist in planning and coordinating Board, Committee, and General Meeting processes
  • Draft notices, agendas, resolutions, and minutes for Board and Committee meetings
  • Maintain statutory registers, minute books, and other secretarial records
  • Ensure timely circulation of board papers and follow-up on action items
  • Support the senior CS team in preparing governance documentation

B. Statutory Compliance & Filings

  • Ensure timely filing of forms, returns, and documents with the Registrar of Companies (ROC) and other regulatory authorities
  • Track and manage compliance obligations under the Companies Act, 2013 and other applicable legislations
  • Maintain a compliance calendar and ensure adherence to filing deadlines across assigned entities
  • Support in preparation and filing of annual reports, annual returns, and financial statements

C. Corporate Governance Support

  • Assist in implementing and maintaining corporate governance standards across assigned entities
  • Support standardisation of governance documentation, templates, and compliance trackers
  • Maintain Delegation of Authority matrices and ensure updates are reflected accurately
  • Assist in preparation of governance review reports and compliance dashboards

D. Documentation & Record Management

  • Maintain and update statutory registers — Register of Members, Directors, Charges, Related Party Transactions, etc.
  • Ensure proper maintenance and custody of statutory records and company documents
  • Support drafting of agreements, resolutions, and other legal/secretarial documents as required
  • Assist in preparation of secretarial audit documentation and support during audits

E. Regulatory & Legal Support

  • Track regulatory updates under Companies Act, SEBI, FEMA, and other applicable laws and flag relevant changes to the team
  • Assist in due diligence exercises, entity restructuring, and corporate actions as required
  • Liaise with ROC, MCA portal, and other regulatory bodies for filings and queries

Qualification & Experience

  • Qualified Company Secretary (ACS) — mandatory
  • 3–5 years of post-qualification experience in a corporate secretarial role
  • Prior experience in a large corporate group, listed company, or law firm preferred
  • Working knowledge of Companies Act, 2013, MCA portal, and secretarial standards
  • Degree in Law (LLB) will be an advantage
  • Proficiency in MS Office; familiarity with compliance management tools preferred
