Job Description: Junior Legal Counsel – Corporate & Legal Affairs
Position Title: Junior Legal Counsel
Reports To: Head of Legal and Compliance
Division: Legal
Role Overview
Tazapay is looking for a Junior Legal Counsel to support its growing legal operations across multiple jurisdictions. The role is ideal for a junior lawyer seeking exposure to commercial, corporate, employment, and regulatory matters in a fintech environment.
You will assist with contract review, legal research, policy drafting, and license applications. Working closely with the Head of Legal and Compliance, this role offers hands-on experience in cross-border legal operations.
Key Responsibilities
Contractual and Commercial Legal Support
- Draft, review, and support negotiations of commercial agreements (NDAs, service agreements, partnership terms, vendor contracts).
- Prepare legal summaries and risk matrices for internal stakeholders.
Corporate and Regulatory Support
- Assist with corporate governance tasks (resolutions, director appointments, entity maintenance).
- Support global regulatory licensing efforts (MAS, AUSTRAC, FINTRAC, BoL, CBUAE), including legal research and drafting responses to regulators.
- Liaise with external counsel on regulatory and entity structuring matters.
Employment and Internal Legal Advisory
- Review employment contracts, consultancy agreements, and internal HR policies.
- Advise on employment law queries in coordination with HR and external advisors.
Legal Research and Internal Drafting
- Conduct legal research on cross-border corporate, fintech, and data protection laws.
- Draft legal memoranda, policy updates, and internal legal opinions.
Cross-functional Collaboration
- Coordinate with commercial, finance, compliance, and operations teams on legal queries.
- Support internal controls and audit-readiness from a legal documentation perspective.
Key Requirements
Experience:
- 0–2 years PQE, with internship or trainee experience in corporate or commercial law.
- In-house legal experience (e.g., internship with fintech, financial institution, or VC firm) is a plus.
Education & Qualification:
- LLB or equivalent legal degree.
- Preferred: Qualified Solicitor in the United Kingdom (England & Wales).
- Other common law jurisdictions will also be considered (e.g., Singapore, Australia).
Skills:
- Excellent legal drafting and research skills.
- Working knowledge of corporate and employment law.
- Familiarity with regulatory regimes in fintech and cross-border transactions is advantageous.
- Proficiency in Google Suite; familiarity with legal tech tools a plus.
